Terms of Service
The terms and conditions governing your use of KodeHub's website and services.

These Terms of Service ("Terms") govern your access to and use of the website kodehubke.com and any software development services provided by KodeHub ("we", "our", or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using our website, requesting a quote, or entering into a service agreement with KodeHub, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them.
2. Services
KodeHub provides bespoke software development services including web development, mobile application development, enterprise resource planning (ERP) systems, point of sale (POS) solutions, and digital consulting.
The specific scope, deliverables, timeline, and cost of each engagement are defined in individual project agreements or statements of work ("SOW") agreed upon prior to commencement of work.
3. Quotes & Proposals
All quotes and proposals issued by KodeHub are valid for the period stated in the document. Proposals are not binding until a formal agreement or deposit payment has been received. Changes to scope after acceptance may result in revised pricing and timelines.
4. Payment Terms
Unless otherwise agreed in writing, the following payment terms apply:
- A deposit of 50% of the total project value is required before work commences
- The remaining balance is due upon project completion and delivery
- Invoices are payable within the due date stated on the invoice
- Late payments may attract interest at 2% per month on outstanding amounts
- KodeHub reserves the right to suspend or withhold deliverables pending payment
All prices are quoted in Kenyan Shillings (KES) or US Dollars (USD) as specified.
5. Intellectual Property
Upon receipt of full payment, KodeHub assigns to the client all ownership rights to the custom code and deliverables developed specifically for that project, unless otherwise agreed in writing.
KodeHub retains ownership of all pre-existing tools, frameworks, libraries, and proprietary components used in the development process. The client is granted a non-exclusive licence to use these components as part of the delivered solution.
KodeHub reserves the right to display the completed work in its portfolio unless the client requests confidentiality in writing prior to project commencement.
6. Client Responsibilities
To enable timely delivery of services, the client agrees to:
- Provide accurate, complete, and timely information, content, and feedback
- Designate a single point of contact with authority to approve decisions
- Review and approve deliverables within agreed timeframes
- Ensure all content and materials provided do not infringe the rights of any third party
Delays caused by the client may result in revised project timelines and potentially additional costs.
7. Confidentiality
Both parties agree to maintain confidentiality regarding proprietary information, business data, and project details shared during the course of an engagement. This obligation survives the termination of any service agreement for a period of three (3) years.
8. Warranties & Limitation of Liability
KodeHub warrants that all work will be performed with reasonable skill and care in accordance with the agreed specifications. We provide a defect correction warranty of 30 days after project delivery, covering bugs arising from our implementation.
KodeHub's liability is limited to the total fees paid by the client for the specific project giving rise to the claim. In no event shall KodeHub be liable for indirect, consequential, or incidental damages.
9. Termination
Either party may terminate a project agreement with 14 days' written notice. Upon termination:
- The client shall pay for all work completed up to the termination date
- KodeHub shall deliver all completed work to the client upon receipt of payment
- Deposits are non-refundable unless KodeHub terminates without cause
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts of Kenya.
11. Changes to These Terms
KodeHub reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
